Rally Shirt Co. · Legal
Terms of Service & Order Terms
Effective [EFFECTIVE DATE — TBD] · Plain-English summary for customers in Texas
These terms are a binding agreement between you and [TBD LLC NAME], doing business as Rally Shirt Co. (“we,” “us”). They’re in plain English, but please read them. Section 15 requires most disputes to be resolved by individual arbitration, not in court or as a class action, unless you opt out within 30 days.
1. How you accept these terms
- You accept these terms by checking the box that says you agree to them when you request a quote, use the AI Design Studio, or approve an order. We record the version of the terms you accepted, the date and time, and your IP address as proof of your acceptance.
- If you’re ordering for a school, team, church, business or other group, you confirm you’re authorized to accept these terms for that group, and “you” includes the group.
- You must be at least 18 to accept these terms and place an order.
2. We are a broker, not the manufacturer
Rally Shirt Co. is an independent brokerage. We take your order and manage quotes, proofs, payment and pickup or delivery. Your shirts are produced by independent partner print shops, and blank garments are made by third-party manufacturers. We do not own or operate a print shop and we are not the manufacturer of any garment. Partner print shops are independent businesses, not our employees or agents. You contract only with us; you have no separate agreement with a partner print shop.
3. Estimates are not quotes
- The “instant estimate range” on the site and any AI Studio estimate are rough placeholder numbers. They are not a quote or an offer.
- Your official quote comes by email after we review your request. Quotes are valid for [X] days unless the quote says otherwise.
- Your price is final only when you approve the proof in writing (Section 4). Changes after approval may change the price and timeline.
4. Written proof approval is required
- Nothing goes into production until you approve a proof in writing (by email reply or the approval link or form we send). A verbal OK, silence, or payment alone is not approval.
- Check spelling, names, numbers, dates, colors, size and placement carefully. An approved proof is final. We print what you approve, and errors in an approved proof are your responsibility. Fixing them is a new, paid order.
- Proofs are digital representations. Screen colors vary by device.
5. Color, placement and sizing
- Color variance: inks may look different on different fabrics, shirt colors and screens. Small shade differences are normal and not a defect. Tell us before approval if an exact match (for example, a Pantone color) is required.
- Placement variance: print position and size may vary by up to about [1 inch] from shirt to shirt and between sizes.
- Size and fit: sizing varies by brand and style. Check the manufacturer’s size chart. We don’t offer returns or reprints for fit, the sizes you ordered, or normal shrinkage.
6. Payment and deposits
- A deposit of [X%] is due when you approve your quote and proof. The balance is due [before pickup/delivery — TBD]. Orders aren’t released until paid in full.
- Deposits are non-refundable once production starts (blank garments ordered or screens made).
- Sales tax is added where required unless you give us a valid Texas exemption or resale certificate.
7. Deadlines and rush orders
- Timelines start after written proof approval and deposit. Dates are targets, not guarantees. Late approvals, changes, late payment, garment stock-outs, shipping delays and other things outside our control can push dates back.
- Rush service, when offered, costs extra and is best-effort. Rush fees are refundable only if we miss a confirmed rush date because of our own error.
8. Your artwork and content
You promise that you own, or have permission to use, all artwork, logos, names, photos and likenesses you send or ask us to print, and that printing them won’t violate anyone’s rights or the law. See our Artwork & Intellectual Property Policy.
9. Our right to refuse, cancel and report
- We may refuse or cancel any order, at any time before delivery, for any lawful reason, including suspected trademark or copyright infringement (for example, licensed school, college or pro team logos without authorization, brands, characters or celebrity likenesses), hateful, harassing, obscene or illegal content, suspected fraud, or abuse of our staff or partners.
- If we cancel for reasons that aren’t your fault, we refund what you paid. If we cancel because your content breaks these terms, we may keep amounts already spent on your order.
- We may report suspected infringement or illegal content to the rights owner or to authorities, and share relevant order information with them.
10. Warranty disclaimer
Except for the reprint-or-refund promise in our Refund & Reprint Policy, our website, the AI Design Studio, estimates, proofs, designs and products are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Garment manufacturers’ warranties, if any, come from them, not us.
11. Limit of liability
- If something is our fault, your remedy is a reprint or a refund of the affected items, at our choice.
- Our total liability for any claim relating to an order or to the site is capped at the amount you paid us for that order (or $100 if no order was placed).
- We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, such as a missed event, lost profits or fundraising revenue, or the cost of a replacement supplier, even if we were told they were possible.
- These limits apply to the fullest extent permitted by Texas law and don’t limit rights that can’t legally be waived.
12. Indemnification and defense
You agree to defend, indemnify and hold harmless [TBD LLC NAME], Rally Shirt Co., our owners and our partner print shops from any claim, demand, lawsuit, loss, damage, fine, cost or expense (including reasonable attorneys’ fees) arising out of or related to: (a) artwork, content, names, likenesses or information you provide; (b) any claim that printing your content infringes or violates someone’s rights; (c) your use of the products; or (d) your breach of these terms or the law. We may take over the defense of any claim at your expense, and you’ll cooperate with us.
13. Force majeure
We aren’t responsible for delays or failures caused by events beyond our reasonable control, including severe weather, hurricanes, flooding, power outages, fire, illness, labor problems, supplier or partner shop shutdowns, garment shortages, carrier delays, government actions, or internet and payment system failures. We’ll tell you as soon as we reasonably can and work with you on a new date, or refund amounts not yet spent on your order.
14. Informal dispute resolution first
Before starting arbitration or a small claims case, you and we each agree to send the other a written notice describing the dispute and the relief requested (ours to the email on your order; yours to [EMAIL — TBD]) and to try in good faith to resolve it for 30 days.
15. Binding individual arbitration and class-action waiver
- Arbitration. If we can’t resolve a dispute informally, any dispute arising out of or relating to these terms, the site, the AI Design Studio, or any order will be resolved by binding individual arbitration, not in court, under the Federal Arbitration Act. Arbitration will be administered by [the American Arbitration Association under its Consumer or Commercial Rules — TBD], held in Harris County, Texas, or by video or phone, before one arbitrator.
- Class-action waiver. You and we may bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator can’t combine claims of more than one person.
- Small-claims exception. Either of us may bring an individual claim in small claims court (a Texas justice court) if it qualifies. Either of us may also go to court to stop infringement or misuse of intellectual property.
- 30-day opt-out. You can opt out of this arbitration section by emailing [EMAIL — TBD] within 30 days after you first accept these terms, with your name, the email used for your order, and a clear statement that you opt out of arbitration. Opting out doesn’t affect the rest of these terms.
- If the class-action waiver is found unenforceable for a claim, that claim will go to court in the venue below, not to arbitration.
16. Governing law and venue
These terms are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law rules. For any matter that isn’t arbitrated, you and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Harris County, Texas.
17. Changes to these terms
We may change these terms at any time by posting a new version with a new effective date. Changes apply to quotes, studio use and orders after the change. The version you accepted (as logged) applies to an order already approved. Material changes to Section 15 won’t apply to a dispute we already knew about.
18. Severability, entire agreement and other terms
- Severability: if any part of these terms is found unenforceable, it will be limited to the minimum extent necessary and the rest stays in effect.
- Entire agreement: these terms, the policies linked here, and your approved quote and proof are the entire agreement about your order and replace any earlier discussions. If they conflict, the approved quote and proof control for price, specs and quantities; these terms control for everything else.
- Our not enforcing a term isn’t a waiver. You may not assign these terms without our consent; we may assign them to a successor business. Sections that by their nature should survive (including 8 through 18) survive completion or cancellation of an order.
